License Agreement

Surt is the identity verification and fraud detection platform that combines KYC, AML screening, geolocation compliance, and real-time transaction monitoring without adding friction.

License Agreement

Surt grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and associated documentation solely for Customer's internal business purposes during the applicable subscription term, subject to the terms and conditions of this Agreement.

1. Restrictions

Customer shall not, and shall not permit any third party to:

Reverse engineer, decompile, disassemble, or otherwise attempt to derive or extract the source code, underlying algorithms, models, or structure of the Services or any component thereof.

Resell, sublicense, redistribute, rent, lease, or otherwise make the Services available to any third party, including as part of a managed service or bureau service offering.

Modify, adapt, translate, or create derivative works based on the Services or any part thereof.

Copy, frame, or mirror any part of the Services other than as expressly permitted.

Circumvent, disable, or interfere with security controls, rate limits, access controls, or other technical or operational restrictions of the Services.

Use the Services to develop, train, or improve any competing product or service, or to benchmark the Services against a competing product without Surt's prior written consent.

Use the Services to process data in a manner that violates any applicable law, regulation, or third-party rights, including data protection and privacy laws.

Remove, obscure, or alter any proprietary notices, labels, or marks on or within the Services.

Use the Services in any manner that could damage, disrupt, or impair the availability, integrity, or performance of the Services or Surt's infrastructure.

Access the Services by automated means for the purpose of scraping, data extraction, or bulk downloading outside of Surt's documented API functionality.

2. API Usage

Access to Surt's APIs is subject to the usage limits, rate limits, and fair use policies set forth in the applicable Order Form or as otherwise communicated by Surt. Surt reserves the right to suspend or throttle Customer's access, without liability, if usage exceeds agreed limits, poses a risk to platform stability, or is inconsistent with normal use patterns. Customer is responsible for securing its API credentials and shall notify Surt immediately upon any suspected unauthorised use.

3. Ownership

All intellectual property rights in and to the Services, including all underlying technology, software, models, algorithms, data, documentation, and improvements thereto, remain exclusively with Surt and its licensors. No rights are granted to Customer other than the limited license expressly set forth in this Agreement. Customer acknowledges that it acquires no ownership interest in the Services and that nothing in this Agreement constitutes a transfer of any intellectual property rights.

4. Feedback

To the extent Customer provides any suggestions, feedback, or recommendations regarding the Services ("Feedback"), Customer hereby assigns to Surt all right, title, and interest in and to such Feedback, and Surt may use and incorporate it into the Services without restriction or compensation to Customer.

5. Termination of License

Upon expiration or termination of this Agreement for any reason, the license granted herein shall immediately terminate. Customer must cease all access to and use of the Services, delete or return any Surt materials in its possession, and certify such deletion in writing upon Surt's request. Surt reserves the right to disable Customer's access immediately upon termination without further notice.
